1. Acceptance of these Terms

These Terms & Conditions ("Terms") form a binding agreement between [Legal Entity Name], a company incorporated under the laws of India, operating as "SugamSuraksha" ("SugamSuraksha", "we", "us", "our"), and the organization or individual registering for or using the SugamSuraksha platform ("Customer", "you"). By creating an account, accessing, or using the platform, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the platform.

If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization, and "you" refers to that organization.

2. Description of the Service

SugamSuraksha is a multi-tenant software-as-a-service platform that helps organizations — companies, schools and colleges, hospitals, residential societies, and similar institutions — manage attendance, workforce and shift rosters, visitor and gate security, internal communication, and related administrative functions. Specific capabilities (for example face-recognition attendance, SMS or WhatsApp notifications) may depend on the subscription plan you hold and may change as the platform evolves.

3. Accounts and Registration

• Registering creates one organization account with a designated Owner, who may then add other users ("Teammates") under that organization.
• You must provide accurate registration information and keep your account credentials confidential. You are responsible for all activity under your account.
• Each organization's data is logically isolated from every other organization on the platform; organizations may be hosted on shared or dedicated infrastructure at SugamSuraksha's discretion, with no difference in the data-protection commitments described in our Privacy Policy.
• You must be legally capable of entering into a binding contract to register an organization account.

4. Subscription Plans, Fees & Billing

• New organizations start on a free trial plan with limited capacity. Paid plans unlock higher user/branch limits and additional features, billed monthly or yearly as selected at the time of purchase or upgrade.
• Fees are quoted and billed in Indian Rupees (INR) unless otherwise agreed in writing, and are exclusive of applicable taxes (including GST), which will be added where legally required.
• Unless stated otherwise at the time of purchase, fees are non-refundable, including for partial billing periods. Subscriptions renew automatically for the same billing cycle unless cancelled before the renewal date.
• We may change plan pricing and features for future billing periods; existing subscribers keep the terms of the specific plan version they purchased until they change plans or that version is otherwise affected under these Terms.

5. Your Responsibility for Your Own Data and Users

You are solely responsible for the personal data of your own employees, students, residents, visitors, or other individuals ("End Users") that you or your Teammates upload to, or collect through, the platform, including:

• Ensuring you have a lawful basis and, where required by applicable law, the explicit, informed consent of each End User before collecting or processing their personal data through the platform — this applies with particular force to biometric data (face or fingerprint templates) used for attendance or access, which is sensitive personal data under Indian law.
• Providing End Users with any notices required by applicable data protection law (including India's Digital Personal Data Protection Act, 2023) about how their data will be used through the platform.
• The accuracy and legality of all data you submit, and for promptly correcting or removing data you are no longer authorized to hold.
• Managing your own Teammates' access levels and permissions appropriately for their roles.

SugamSuraksha acts as a data processor/service provider with respect to End User data you control, and as described in our Privacy Policy with respect to data about you and your Teammates directly.

6. Acceptable Use

You agree not to use the platform to:

• Violate any applicable law, or the privacy or other rights of any person;
• Upload data you are not authorized to collect or process, including biometric data collected without consent;
• Attempt to gain unauthorized access to the platform, other organizations' data, or SugamSuraksha's systems;
• Interfere with or disrupt the platform's operation, or probe/scan it for vulnerabilities without our prior written permission;
• Reverse-engineer, decompile, or attempt to extract the source code of the platform, except where applicable law permits it despite this restriction.

7. Intellectual Property

SugamSuraksha and its licensors own all rights, title, and interest in the platform, including its software, design, trademarks, and documentation. These Terms grant you a limited, non-exclusive, non-transferable right to use the platform for your internal business purposes during your subscription term — nothing more. You and your organization retain all rights to the data you submit to the platform ("Customer Data"); we do not claim ownership of it.

8. Data Protection

Our collection and use of personal data in connection with the platform is described in our Privacy Policy. Where applicable data protection law requires a separate data processing agreement between us (for example, for the personal data of your End Users), we will enter into one on request.

9. Third-Party Services

The platform relies on third-party infrastructure and service providers to operate, including cloud hosting and storage, email delivery, push-notification delivery, and (where enabled) payment, SMS, and WhatsApp messaging providers. We select these providers carefully and remain responsible for the platform under these Terms, but we are not liable for an outage or failure caused solely by a third-party provider's own service interruption.

10. Service Availability & Support

We aim to keep the platform available and performant but do not guarantee uninterrupted or error-free operation. We may suspend access for scheduled maintenance, with advance notice where reasonably practicable for planned work. No specific service-level commitment is made unless separately agreed in writing (for example in an enterprise order form).

11. Suspension & Termination

• We may suspend or deactivate your organization's account for non-payment, a breach of these Terms, suspected fraud or abuse, or a legal or regulatory requirement, with notice to your account Owner where practicable.
• Your organization's designated Owner may request termination of your organization's account at any time through the platform's account settings. Once a termination request is approved and processed, access for every user in the organization is deactivated and your subscription is cancelled; this does not, by itself, delete your Customer Data, which continues to be handled as described in our Privacy Policy.
• Individual users may separately request deletion of their own personal account and data at any time (see our Privacy Policy); an organization's designated Owner cannot use that individual flow for their own account and must use the organization-termination process above.
• Provisions of these Terms that by their nature should survive termination (including Sections 7, 12, 13, 14, and 15) continue to apply after termination.

12. Disclaimer of Warranties

The platform is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the platform will be uninterrupted, secure, or error-free, or that any biometric or other identification method will achieve a particular accuracy rate.

13. Limitation of Liability

To the fullest extent permitted by law, SugamSuraksha's total liability arising out of or relating to these Terms or the platform, however arising, will not exceed the fees you paid to SugamSuraksha in the twelve (12) months preceding the event giving rise to the claim. SugamSuraksha will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, or data, even if advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited under applicable law.

14. Indemnification

You agree to indemnify and hold SugamSuraksha harmless from claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of applicable law, or your End Users' data that you submitted to the platform without the legally required consent or basis to do so.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms will first be attempted to be resolved through good-faith negotiation; failing that, it will be referred to arbitration under the Arbitration and Conciliation Act, 1996, seated in [City], India, conducted in English, before a sole arbitrator. Subject to the foregoing, the courts at [City], India have exclusive jurisdiction over any matter not subject to arbitration.

16. Changes to these Terms

We may update these Terms from time to time. We will post the revised Terms on this page with an updated "Last updated" date, and for material changes we will make reasonable efforts to notify account Owners by email. Continued use of the platform after a change takes effect constitutes acceptance of the revised Terms.

In accordance with applicable Indian law, including the Information Technology Act, 2000 and rules made thereunder, and the Digital Personal Data Protection Act, 2023, grievances or complaints relating to these Terms or our Privacy Policy may be addressed to our Grievance Officer:

18. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with the Privacy Policy and any order form or agreement you have signed with us, constitute the entire agreement between you and SugamSuraksha regarding the platform, and supersede any prior agreements on the subject. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
